Item 2.02.Results of Operations and Financial Condition.
On November 6, 2024, DoubleVerify Holdings, Inc. (the “Company”) issued a press release announcing its financial results for the three and nine months ended September 30, 2024. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

Item 8.01.Other Events.
On November 6, 2024, the Company announced that its Board of Directors (the “Board”) has approved an additional share repurchase program with authorization to purchase up to $200 million of the Company’s outstanding common stock (the “Repurchase Program”), which amount is in addition to the $150 million share repurchase program previously approved by the Board in May 2024. The volume and timing of any repurchases will be subject to general market conditions, as well as the Company’s management of capital, other investment opportunities, and other factors. The Repurchase Program does not obligate the Company to repurchase any specific number of shares, has no time limit, and may be modified, suspended, or discontinued at any time at the Company’s discretion. A copy of the press release announcing the Repurchase Program is attached hereto as Exhibit 99.1. Solely the portion of the press release that relates to the Repurchase Program referenced in this Item 8.01 is incorporated herein by reference.
